Clark, Inc. (“Clark,” “we,” or “us”) respects your privacy and is committed to protecting it through our compliance with this Privacy Policy. This Privacy Policy describes the types of information we may collect from you when you visit www.hiclark.com or use the Clark mobile application (collectively, the “Website”), how we use the information we collect, with whom we share it, how we protect it, and the choices we offer you regarding our collection and use of such information.

Please read this Privacy Policy carefully. By using the Website, you agree to the terms of this Privacy Policy. If you do not agree with the terms of this Privacy Policy, please do not use the Website or the Clark services.

Types of Information We Collect about You

We receive and store any information you provide to us through the Website or otherwise (for example, if you contact us by telephone or email). This information may include your name, email address, physical address, telephone number, and any other information provided or made available to us through your creation of an account, use of the Website or our services. If you are a tutor, education professional or other service provider who subscribes to Clark’s services (“Customer”), it may also include information you provide to us about your clients (“End Users”), such as their name, email address, telephone number and communication preferences. If you are a parent or guardian, or are otherwise using the services on behalf of an End User, it may also include information you provide to use about the End User, including their name, contact information and communication preferences. Please see below for information about our collection of personal information from children under the age of 13.

When you visit the Website, we may also collect certain information by automated means, such as cookies. A “cookie” is a text file that websites send to a visitor’s computer or other Internet-connected device to uniquely identify the visitor’s browser or to store information or settings in the browser. We may also use third-party website analytics tools (such as Google Analytics) that collect information about user traffic on the Website. The information we may collect by automated means may include, but is not limited to, the following:

  • information about the devices you use to access the Internet (such as the IP address and the type of the device, operating system, and web browser);
  • dates, times and duration of visits to the Website (including whether you are a repeat or first time visitor); and
  • information on actions taken on the Website (such as page views and site navigation patterns).

Types of Information We Collect About End Users

We may also collect information from or about End Users, including their name, their contact information, and their communication preferences. In the event that the End User is a minor, we will also collect the contact information of their parent or legal guardian.

How We Use The Information We Collect

We may use the information you provide to us with to:

  • provide you with services you request;
  • help us improve the experiences of End Users;
  • register you to receive emails or other information or materials you request;
  • understand your needs and interests and tailor the Website and our services accordingly;
  • respond to your questions and comments and provide customer support;
  • communicate with you about our services, offers, and promotions;
  • operate, evaluate, and improve our business and the services we offer;
  • enforce our Terms of Service and other agreements; and
  • comply with applicable legal requirements and industry standards.

In addition to the uses described above, we may use the information collected through cookies to identify and authenticate visitors. We may also combine the information we collect with publicly available information, and with that of other users of the Website. For example, we may use your and other users’ non-identifiable, aggregated data to improve the services we offer, for statistical analysis, and for other business purposes.

We also may use the information you disclose to us in other ways for which we provide specific notice at the time of collection.

You acknowledge and agree that you have the right to disclose information regarding End Users to us, and have the right to consent to our use of such information for the purposes described in this Privacy Policy.

Information We Share

We may disclose aggregated, anonymized information about our Customers and End Users without restriction. We also reserve the right to transfer personal information:

  • to our subsidiaries and affiliates;
  • to contractors, service providers, and other third parties we use to support our business;
  • to a buyer or other transferee in the event of a merger, divestiture, restructuring, reorganization, dissolution, sale, or other transfer of some or all of our assets;
  • for any other purpose disclosed by us when you provide the information;
  • with your consent.

Should a sale, merger, or transfer occur, we will use reasonable efforts to direct the transferee to use personal information in a manner that is consistent with our Privacy Policy.

In addition, we may also disclose personal information to: (i) comply with any court order, law, or legal process, including to respond to any government or regulatory request; (ii) enforce or apply our Terms of Service and other agreements; and/or (iii) if we believe disclosure is necessary or appropriate to protect the rights, property, or safety of Clark, users of our Site, or others.

Payment Information

If you are purchasing our services we will provide your credit or debit card number, expiration date, and other payment details (collectively, “Payment Information”) as well as other personal information to our third party payment processors in order to complete such purchase. We do not process credit or debit card payments directly and will never store your Payment Information on our systems or servers. Pursuant to the “Information We Share” section above, our third party payment processors are bound by contractual obligations to keep such personal information confidential and use it only for the purposes for which we disclose it to them. We are not responsible for our third party payment processors’ use of any Payment Information or other personal information they collect in connection with your transactions on the Website.

Your Choices

We offer you the following choices about what information we collect from you and how we communicate with you:

Cookies. Most browsers will tell you how to stop accepting new cookies, how to be notified when you receive a new cookie, and how to disable existing cookies. Please note, however, that without cookies you may not be able to take full advantage of all of the Website’s features.

Marketing Emails. If we have sent you a marketing email, you may choose not to receive additional marketing emails from us by following the unsubscribe instructions contained in each email.

Web Analytics. You may opt-out of the aggregation and analysis of data collected about you on our Site by our web analytics vendor by visiting https://tools.google.com/dlpage/gaoptout and downloading and installing the Google Analytics Opt-out Browser Add-on.

Accessing and Correcting Your Information

You can review and change personal information you disclose to us by contacting Clark via SMS, e-mail, or the eventual app. Subject to applicable law, you may have certain additional rights to request access to and receive information about the personal information you have disclosed to us, update and correct inaccuracies in such personal information, and have such personal information blocked or deleted, as appropriate. Security

Clark has reasonable security measures in place in an effort to protect personal information from loss, misuse, and unauthorized access, disclosure, alteration, and destruction. Please note that no electronic transmission of information can be entirely secure. We cannot guarantee that the security measures we have in place will never be defeated or fail, or that such measures will always be sufficient or effective. Any transmission of information is at your own risk. We are not responsible for circumvention of any Site privacy settings or our security measures.

The safety and security of your information also depends on you. Where we have given you (or where you have chosen) a password for access to certain parts of our Site, you are responsible for keeping this password confidential. We ask you not to share your password with anyone.

Geographic Restrictions

Clark is based in and operates the Website and services out of the United States. When we obtain personal information about or from you, we may process such information outside of the country in which you are located, including in the United States. The countries in which we process personal information may not have the same data protection laws as the country in which you are located. We will protect personal information you disclose to us as described in this Privacy Policy.

Children Under the Age of 13

Our Site is not intended for children under 13 years of age. No one under age 13 may provide any personal information to the Website and Clark will not solicit personal information from anyone under the age of 13. However, Clark may receive personal information about children from parents, legal guardians, or Customers who use this information to manage tutoring and appointments. Clark is committed to protecting children’s privacy.

The Children’s Online Privacy Protection Act of 1998 and its rules (collectively, “COPPA”) require us to inform parents and legal guardians (as used in this section, “parents”) about our practices for collecting, using, and disclosing personal information from children under the age of 13 (“children”). It also requires us to obtain verifiable consent from a child’s parent for certain collection, use, and disclosure of the child’s personal information.

This section notifies you of:

  • The types of information we may collect from children.
  • How we use the information we collect.
  • Our practices for disclosing that information.
  • Our practices for notifying and obtaining parents' consent when we collect personal information from children, including how a parent may revoke consent.
  • All operators that collect or maintain information from children through this service.

This section only applies to children under the age of 13 and supplements the other provisions of our Privacy Policy.

Information We Collect from Children. Clark does not directly solicit or collect information from children. However, parents, guardians and Customers may provide us with information about children in order to manage Clark’s services with respect to such child. We only collect as much information about a child as is reasonably necessary for the child to participate in his or her tutoring, and we do not condition his or her participation on the disclosure of more personal information than is reasonably necessary.

How We Use Your Child's Information. We use the personal information we collect from your child to:

  • register him or her as a student with Clark’s services;
  • schedule his or her tutoring appointments; and
  • track his or her performance.

Our Practices for Disclosing Children's Information. We do not share, sell, rent, or transfer children's personal information other than as described in this section. We may disclose aggregated and/or anonymized information about our users. This information will not identify any individual. In addition, we may disclose children's personal information:

  • To third parties we use to support the internal operations of our services and who are bound by contractual or other obligations to use the information only for such purpose and to keep the information confidential.
  • If we are required to do so by law or legal process, such as to comply with any court order or subpoena or to respond to any government or regulatory request.
  • If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of Clark, our customers or others, including to:

    • protect the safety of a child;
    • protect the safety and security of Clark’s services; or
    • enable us to take precautions against liability.
  • To law enforcement agencies or for an investigation related to public safety.

In addition, if Clark is involved in a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Clark's assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding or event, we may transfer the personal information we have collected or maintain to the buyer or other successor.

Communications with Parents. Clark will not communicate directly with children. If a Customer intends to use Clark’s services with respect to a child, Clark will contact the parents or guardian of that child to request consent to collect the information listed above in accordance with this section. Further communications relating to Clark’s services (e.g., scheduling appointments) will be sent to the child’s parents or guardian.

Accessing and Correcting Your Child's Personal Information. At any time, you may review your child's personal information maintained by us, require us to correct or delete the personal information, and/or refuse to permit us from further collecting or using the child's information.

You can review, change, or delete your child's personal information by sending us an email at clark@hiclark.com. To protect your privacy and security, we may require you to take certain steps or provide additional information to verify your identity before we provide any information or make corrections.

California Privacy Rights

California Civil Code Section § 1798.83 permits users of our Website that are California residents to request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes. To make such a request, please refer to the “Contact Us” section of this Privacy Policy.

Clark uses Mixpanel and other internal analytics tools to track users over time while on our sites. We may also use cookie-based retargeting tools to track users for advertising purposes.

Changes to Our Privacy Policy

Clark reserves the right to update or change this Privacy Policy at any time. If we make a material change to our Privacy Policy, we will indicate on the Website that our privacy practices have changed and will provide a link to the new policy. In the event we make a material change to how we use personal information you disclose to us, we will provide you with an opportunity to opt out of such new or different use. The date this Privacy Policy was last revised is at the top of this page. You are responsible for periodically reviewing the Website and this Privacy Policy to check for any updates or changes.
